Company Registration — common questions

The questions clients ask most often before deciding.

How long does private limited company registration take?
Typically seven to fifteen working days from receiving complete documents. DSC issuance takes one to two days, name approval one to three, and ROC processing three to seven. Delays usually come from name rejection or incomplete address proof.
What is the minimum capital required?
There is no minimum paid-up capital requirement. You can incorporate with ₹10,000 or even less. Authorised capital of ₹1 lakh to ₹10 lakh is common because MCA fees are nil up to ₹15 lakh authorised capital.
LLP or Private Limited — which is better?
LLP if you are a services or consulting business, want lower compliance cost, and do not plan to raise equity. Private Limited if you intend to raise funding, issue ESOPs, or bring in investors. An LLP cannot issue shares or stock options — that limitation is usually the deciding factor.
Is audit mandatory for an LLP?
Only if annual turnover exceeds ₹40 lakh or capital contribution exceeds ₹25 lakh. Below both thresholds no statutory audit is required, which is a meaningful cost saving relative to a company.
Who can register a One Person Company?
Only a natural person who is an Indian citizen and resident in India — meaning present in India for at least 120 days in the preceding financial year. A person may incorporate only one OPC and act as nominee for only one.
Why does an OPC need a nominee?
Because there is only one member, a nominee ensures the company continues if that member dies or becomes incapacitated. The nominee must be an Indian citizen resident in India and must consent in writing through Form INC-3.
Is partnership firm registration mandatory?
Not technically. But Section 69 of the Indian Partnership Act bars an unregistered firm from filing suit to enforce a contractual right against a third party or a partner. In practice this means you cannot recover your own receivables through the courts — so registration is effectively necessary.
What is the difference between a partnership firm and an LLP?
Liability. In a partnership firm, partners have unlimited personal liability and are jointly and severally liable for each other's acts. In an LLP, liability is limited to the agreed contribution and one partner is not liable for another's misconduct. An LLP is also a separate legal entity with perpetual succession.
