Is there any registration certificate for a sole proprietorship?
No single certificate exists, because a proprietorship is not a separate legal entity. Its existence is evidenced by GST registration, the Udyam MSME certificate, the Shop and Establishment licence and a current account in the trade name.
Does registering a proprietorship protect my business name?
No. Neither GST nor Udyam gives you any rights over the name. Anyone can trade under the same name, and if they register it as a trademark first they can stop you using it. If the name matters, file a trademark — and as a proprietor with Udyam registration you pay the reduced ₹4,500 government fee.
Do I need GST registration for a proprietorship?
It is mandatory if turnover exceeds ₹40 lakh for goods or ₹20 lakh for services (lower in special category states), or if you make interstate supplies or sell through e-commerce marketplaces. Many proprietors register voluntarily to claim input credit and to open a current account.
How is a sole proprietorship taxed?
Business income is added to your personal income and taxed at individual slab rates. There is no separate business tax return — it is reported in your ITR-3 or ITR-4.
When should I convert to a company or LLP?
When liability exposure grows, when you need external funding, when you want to bring in partners, or when clients start requiring a corporate counterparty. The unlimited personal liability is usually the trigger — one bad contract or unpaid supplier can reach your personal assets.
