    Digital Signature Certificates

    Class 3 DSCs obtained for all proposed directors and subscribers. Every MCA filing is digitally signed.

  2. 21–3 days

    Name reservation (SPICe+ Part A)

    Two proposed names submitted with business activity details. We check MCA and trademark databases first so the name is not rejected — or worse, approved but infringing.

  3. 32–3 days

    Documentation

    MoA (Form INC-33) and AoA (Form INC-34) drafted with object clauses matched to your actual business, plus director declarations and consents.

  4. 41–2 days

    SPICe+ Part B filing

    Incorporation form filed with AGILE-PRO-S covering DIN allotment, PAN, TAN, GST, EPFO, ESIC and bank account opening.

  5. 53–7 days

    Certificate of Incorporation

    The ROC verifies and issues the Certificate of Incorporation with CIN. PAN and TAN are allotted simultaneously.

  6. 61–2 weeks

    Post-incorporation

    Bank account activation, INC-20A commencement of business declaration within 180 days, share certificates and statutory registers set up.

What you need to provide

  • PAN card (mandatory for Indian nationals)
  • Aadhaar card, voter ID, passport or driving licence
  • Latest bank statement, electricity or mobile bill (not older than 2 months)
  • Passport-size photograph

  • Electricity bill or property tax receipt (not older than 2 months)

How long does private limited company registration take?
Typically seven to fifteen working days from receiving complete documents. DSC issuance takes one to two days, name approval one to three, and ROC processing three to seven. Delays usually come from name rejection or incomplete address proof.
What is the minimum capital required?
There is no minimum paid-up capital requirement. You can incorporate with ₹10,000 or even less. Authorised capital of ₹1 lakh to ₹10 lakh is common because MCA fees are nil up to ₹15 lakh authorised capital.
Can I register a company at my home address?
Yes. A residential address is acceptable as a registered office. You need a recent electricity bill and a No Objection Certificate from the owner. The registered office can be changed later by filing INC-22.
Does registering a company protect my brand name?
No — and this is a costly misunderstanding. Company registration with the MCA only stops another company registering an identical name. It does not stop anyone using your name as a brand, and does not give you the right to stop them. Only a trademark registration does that. Ideally, run the trademark search before you finalise the company name.
What compliance is required after incorporation?
INC-20A within 180 days, an auditor appointed within 30 days, at least four board meetings a year, an annual general meeting, MGT-7 annual return, AOC-4 financial statements, DIR-3 KYC for every director annually, and a statutory audit regardless of turnover.
Private Limited or LLP — which should I choose?
Choose Private Limited if you plan to raise external funding, issue ESOPs, or scale with multiple investors. Choose LLP if you are a services or consulting business with partners, want lower compliance cost, and have no plans to raise equity. An LLP cannot issue shares or ESOPs.
